All Other Fees
During the fiscal years ended December 31, 2014 and 2013, all other fees billed by Ernst &Young LLP
were $1,995 each year. These fees were for a subscription to an online accounting and tax information service.
TheAudit Committee has determined that the rendering of all non-audit services by Ernst &Young LLP is
compatible with maintaining the auditor’s independence.
During the fiscal year ended December 31, 2014, none of the total hours expended on our financial audit by
Ernst &Young LLPwere provided by persons other than Ernst &Young LLP’s employees.
