FORTERRA
ANNUAL REPORT 2013
CORPORATE GOVERNANCE
REPORT
51
Separate resolutions are proposed at general meetings on each distinct issue, unless the resolutions
are interdependent and linked so as to form one significant proposal. Information on each item in
the AGM or meeting agenda is disclosed either in the notice or in the Annual Report or the circular.
The Trustee-Manager values unitholder participation at the general meetings of Forterra. Unitholders
have the opportunity to ask questions about the resolutions being proposed. The Chairman, the
chairpersons of the various Board Committees, Management, the external auditors and where necessary,
other professional advisers are present to assist the directors to address any relevant queries by the
Unitholders, including queries about the conduct of audit and the preparation and content of the
auditor’s report. To further enhance the participation of the Unitholders, the Trustee-Manager has
adopted poll voting for all resolutions tabled at the general meetings, and announces the results of
votes cast for and against each resolution and the respective percentage.
The company secretary prepares minutes of meetings of the Unitholders, which incorporates substantial
comments or queries from Unitholders and responses from the Board and Management. These minutes
are made available to Unitholders upon their request in writing.
Principle 15: Communication with Unitholders
Management handles the investor relation activities to promote regular communication with the
Unitholders. Management meets with analysts, institutional investors and fund managers regularly, both
locally and overseas, to promote Forterra, communicate its business performance and developments
and to gather views and feedback. The corporate website of Forterra provides an investor relations
link and e-mail contacts for the Unitholders and general public to provide their views and feedback.
Management also attends to queries raised by retail Unitholders via phone calls or emails. Such
interaction allows the Board and Management to obtain feedback from the investing community. Please
refer to the section on Investor Relations in the Annual Report for more information on the investor
relations activities undertaken in 2013.
In preparation for the annual general meeting, Unitholders are encouraged to refer to the SGX-ST’s
investor guides, namely “An Investor’s Guide to Reading Annual Reports” and “An Investor’s Guide to
Preparing For Annual General Meetings”. The guides, in both English and Chinese versions, are available
at the SGX website via the link below:
