Reducing number of shares outstanding

• In previous share repurchase programs, about 40% of buyback used to reduce number of shares outstanding

• We expect percentage to grow significantly going forward due to:

  • Increase in level of our stock repurchases
  • Reduction in issuance of stock options over time
    • New stock-based compensation plan
    • Elimination of restoration stock option program
