4 These options and restricted stock units were granted in 2011 based on the Company’s 2010 LTI compensation payout.
The 2011 equity incentive payout was made in February 2012 and is shown in more detail below:
a The exercise price is equal to the closing price on the date of grant, which was February 22, 2012.
b The amounts shown in this column represent approximately 50% RSUs and 50% PSUs on the date of grant.
c The amounts shown in this column include the fair value under ASC 718 of the 2011 option awards on the date
of grant determined using the Black-Scholes or Monte-Carlo variant valuation model, as appropriate. Addition-
ally, amounts reflect the grant-date fair value of the PSUs which include both a performance and market-based
variable as defined within ASC 718. Although the fair value of executive award grants listed above has been de-
