1999, we recorded restructuring-related adjustments
that increased operating income by $0.6 million and,
in connection with our acquisition of Cloudscape in
October 1999, recorded a charge to operations of $2.8
million for merger related expenses. In addition, we
recorded a charge of $97.0 million related to the settlement
of private securities and related litigation against
us.

1998, we recorded restructuring-related adjustments
that increased operating income by $10.3 million and,
in connection with our acquisition of Red Brick in December
1998, recorded a charge to operations of $2.6 million
for in-process research and development which had not
yet reached technological feasibility and had no alternative
future uses.

a write-down of certain assets in Japan of $30.5 million
and a write-down of capitalized software of $14.7 million.
