STATEMENT ON COMPOSITION OF THE

BOARD OF DIRECTORS

T

he Board of Directors of Treasury Holdings Real Estate Pte. Ltd, as Trustee-Manager of Treasury China Trust, has reviewed and determined the following Directors to be independent from management and business relationships with the Trustee-Manager and independent from every substantial shareholder of the Trustee-Manager.

Trustee-Manager’s Board Of Directors

The Board is entrusted with the responsibility for the overall management of the Trustee-Manager, and comprises seven directors all of whom have prior experience in being a director of a public listed company (whether in Singapore or overseas). As detailed in the following biographies, the Board has a range of commercial experience, including expertise in fund management and the property industry.

1. MR. RICHARD BARRETT

Chairman and Non-Executive Director Appointed 18 February 2010

Mr. Barrett is Managing Director of Treasury Holdings, which he co-founded in 1989 and owns 50.0% of its shares. He moved to China in 2004 to establish TCT and since its successful listing in Singapore in June 2010, splits his time between China and Treasury Holdings’ global head office in Europe.

Mr. Barrett started his career in Agricommodities with R Barrett & Co Ltd, his family holding company from 1977 to 1987. Since 1987, he has been in the investment sector beginning with Rivoli Investment Co. Mr. Barrett has been a non-executive director of Real Estate Opportunities plc since 2001, a London Stock Exchange listed company, in which Treasury Holdings has a 64% interest. He is also a director/shareholder of a number of private wind farms, waste-to-energy and solar energy technology companies in Ireland and Europe.

Mr. Barrett was awarded the Ernst & Young Industry Entrepreneur of the Year in 2007. He has served on the Advisory Board of the Graduate School of Design at Harvard University from 2005 to 2008. Mr. Barrett has been Guest Lecturer at Harvard University, ESADE Barcelona, Trinity College Dublin, King’s Inns Dublin, the Society of Chartered Surveyors Ireland, Royal Society of Chartered Surveyors (HK), United Nations Sustainability Conference in South East Asia and at numerous other conferences.

Mr. Barrett is a double graduate in Economics, holds a postgraduate degree in Law from Trinity College, Dublin and is a Barrister at Law of the King’s Inns, Dublin. He holds a Diploma in French Language from Institut de Francais, Villefranche sur Mer, France and a Diploma in Spanish Language from ESADE, Barcelona, Spain. Mr. Barrett has also authored numerous publications and articles on Real Estate, China and Renewable Energy.
