REINVESTMENT PLAN
Comerica offers a dividend
reinvestment plan which permits participating shareholders of record to reinvest
dividends in Comerica common stock without paying brokerage commissions or service
charges. Beginning April 1, participating shareholders also may invest up to
$10,000 in additional funds each month for the purchase of additional shares.

PAYMENTS
Subject to approval of the
board of directors, dividends customarily are paid on Comerica’s common
stock on or about January 1, April 1, July 1 and October 1.

The Annual Meeting of Shareholders

OFFICER
CERTIFICATIONS
On May 27, 2005, Comerica’s
Chief Executive Officer submitted his annual certification to the New York
Stock Exchange stating that he was not aware of any violation by the Corporation
of the Exchange’s corporate governance listing standards. Comerica filed the
certifications by its Chief Executive Officer and Chief Financial Officer
required by Section 302 of the Sarbanes-Oxley Act of 2002 as exhibits to its
Annual Report on Form 10-K for the fiscal year ended December 31, 2005.
