SHIFTING TO A "PORTFOLIO" BUSINESS
MODEL

During the reorganization of the Company, we
will be shifting from a business model that was divided functionally
to one that is divided into four separate "portfolio" business units.
Dividing into these four Strategic Business Units, or SBUs, will allow
the Company to better allocate resources, make investment and leadership
decisions, and be more competitive in the marketplace.
The shift to SBUs offers a number of benefits to the Company. First,
it allows each unit to have a dedicated management team that is accountable
and focused on customer satisfaction. Secondly it offers transparency
in the business to determine whether or not key performance objectives
are being met. Third, it puts P&L decisions closer to the customer.
And finally, it allows us to attract top-notch management to the Company.
