New York Stock Exchange Certification
In 2005 the Company submitted to the NYSE a certificate of the Chief Executive Officer of the Company certifying that he is not aware of any violation by the Company of NYSE corporate governance listing standards, other than it inadvertently omitted to state in the proxy statement that the Compensation Committee Charter and Corporate Governance Guidelines were available on its website and, along with the Audit Committee Charter, available in print to shareholders upon request. The Company filed a Current Report on Form 8-K which cured this omission.
